Please read these Terms & Conditions (“Terms”) carefully before using the website at https://nerdle.ie/ (the “Website” or “Service”). These Terms form a binding agreement between you and Nerdle.ie (“Company,” “we,” “us,” or “our”).

1) Interpretation & Definitions

Words with capitalized initial letters have meanings defined below. The definitions apply whether the terms appear in singular or plural.

• Affiliate means any entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
• Country refers to: Ireland.
• Company (also “we,” “us,” or “our”) refers to Nerdle.ie.
• Device means any device that can access the Service, such as a computer, phone, or tablet.
• Service means the Website and any content, features, or games provided via the Website.
• Third-party Social Media Service means services or content provided by a third party that may be displayed or linked via the Service.

If we make material changes, we will post the updated Terms on this page and update the “Last updated” date. 5) Intellectual Property & License

• Our materials: Except where otherwise noted, the Website, its design, text, graphics, logos, and other content are owned by or licensed to Nerdle.ie and are protected by intellectual-property laws.
• Third-party games & content: Many games and assets featured on the Service are owned by their original creators and licensed or embedded with permission, via permitted platforms, or believed to be free to distribute. We do not claim ownership of third-party games or their associated art, audio, or code.
• Personal, non-commercial use: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes.
• Restrictions: You may not copy, reproduce, mirror, redistribute, sell, rent, modify, translate, reverse engineer, decompile, scrape, or create derivative works from the Service or any game/content therein, unless expressly permitted by the rights holder.

Most of Nerdle.ie is available without an account. If we provide optional accounts, you must provide accurate information, keep credentials confidential, and notify us of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

10) Copyright & Takedown Requests

We respect intellectual-property rights. If you believe that content on the Service infringes your rights, please email [email protected] with:

• Identification of the copyrighted work and the allegedly infringing material (URL(s));
• A statement of good-faith belief that use is not authorized;
• A statement that the information is accurate and, under penalty of perjury, that you are the rights holder or authorized to act for the rights holder;

We will review and take appropriate action, which may include removal or disabling access to the content.

11) “AS IS” & “AS AVAILABLE” Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE” with all faults. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage. We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that defects will be corrected.

12) Limitation of Liability

To the maximum extent permitted by law, in no event shall Nerdle.ie or its suppliers be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, goodwill, or other intangible losses) arising from or relating to your use of or inability to use the Service, even if advised of the possibility of such damages.

In all cases, our total liability for any claim relating to the Service shall not exceed the greater of: (a) the amount you paid us (if any) in the 12 months before the event giving rise to liability, or (b) USD $100.

Some jurisdictions do not allow certain limitations; in such cases, these limits apply to the fullest extent permitted by law.

13) Indemnification

You agree to defend, indemnify, and hold harmless Nerdle.ie and its Affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your violation of these Terms or misuse of the Service.

14) Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

15) Governing Law & Venue

These Terms are governed by the laws of Ireland, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ireland for any dispute arising from or relating to the Service or these Terms, subject to Section 16 (Dispute Resolution).

16) Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at [email protected]. If we cannot resolve the dispute within 30 days, either party may pursue available remedies in the courts identified above, unless your local consumer laws require otherwise.

17) Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

18) Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.

19) Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Nerdle.ie regarding the Service and supersede all prior agreements or understandings on this subject.
